Terms of Service

1. Definitions

"User" refers to anyone who accesses or uses the Service.

"User Content" refers to any text, files, documents, highlights, notes, or other materials submitted, uploaded, or generated by a User on the Service.

2. Account Registration and Security

To use certain features of the Service, you must register for an account. You agree to provide accurate, complete, and current information. You are solely responsible for safeguarding your password and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

3. Subscriptions and Payments

We use Stripe, a third-party payment processor, to handle transactions.

By providing payment information, you represent that you are authorized to use the payment method.

You agree to Stripe’s terms of service and privacy policy. Readshape does not store your full credit card details.

All fees are non-refundable unless required by mandatory EU consumer protection laws (such as the 14-day right of withdrawal for EU consumers, which you agree is fulfilled once you begin utilizing the digital service).

4. User Content and License

You retain all ownership and intellectual property rights to your User Content. However, by uploading User Content to Readshape, you grant us a worldwide, non-exclusive, royalty-free, fully paid, transferable, and sub-licensable license to use, host, store, reproduce, modify, format, create derivative works from, and distribute your User Content solely for the purposes of operating, maintaining, and improving the Service.

5. Acceptable Use Policy

You agree not to use the Service to:

• Upload or distribute any content that infringes on the intellectual property rights, copyrights, or trademarks of others (including pirated materials).
• Upload malicious code, viruses, or utilize the Service to conduct cyberattacks.
• Attempt to gain unauthorized access to the Service, our servers, or the accounts of other Users.
• Engage in any activity that is illegal, abusive, or violates the rights of third parties.

We reserve the right to remove any User Content that violates these provisions without prior notice.

6. Third-Party Device Integrations and Assumption of Risk

Readshape provides tools and integrations designed to sync your User Content with third-party e-reader devices, such as Amazon Kindle, Rakuten Kobo, and others.

Custom Software and Modifications: Utilizing our integrations may require you to install third-party software, custom scripts, "jailbreak," root, or otherwise modify the factory firmware of your device.

Assumption of Risk: YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT YOU PERFORM THESE MODIFICATIONS ENTIRELY AT YOUR OWN DISCRETION AND AT YOUR OWN RISK.

Disclaimer of Hardware Liability: Such modifications may void your manufacturer’s warranty, violate the terms of service of your device provider, or cause critical system failures ("bricking"). Readshape is not responsible or liable for any hardware damage, data loss, warranty voidance, or other damages resulting from the use of our integrations or custom software.

7. Intellectual Property

All rights, title, and interest in and to the Service (excluding User Content)—including our website design, code, logos, and trademarks—are and will remain the exclusive property of Readshape and its licensors.

8. Termination

We may suspend or terminate your account and access to the Service at our sole discretion, at any time, and without notice or liability, if you violate these Terms or if we decide to discontinue the Service. Upon termination, your right to use the Service will immediately cease.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL READSHAPE, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICE. This limitation applies whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis. This limitation does not apply to damages resulting from Readshape's gross negligence or willful misconduct.

10. Indemnification

You agree to defend, indemnify, and hold harmless Readshape and its employees, contractors, and affiliates from any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from: (a) your use of and access to the Service; (b) your violation of any term of these Terms; or (c) your violation of any third-party right, including copyright, property, or privacy rights.

11. Severability and Waiver

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions will remain in effect. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

12. Governing Law and Jurisdiction

These Terms shall be governed and construed in accordance with the laws of Denmark, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Denmark. EU consumers may also possess rights to bring proceedings in their country of residence.
